GENERAL TERMS AND CONDITIONS OF SALE

1. APPLICATION AND BINDING EFFECT

By placing an order on this website, the Client ("You") agrees to be bound by these Terms and Conditions. These terms supersede any prior agreements or client-provided terms. No modifications are valid unless expressly agreed upon in writing by Orchard Farm Company Limited ("The Company").

2. PRICING AND PAYMENTS

  • Pricing: All prices are as displayed at the time of order in HKD. In compliance with 2026 transparency standards, the final price shown before checkout includes all mandatory charges.
  • Payment Due: Invoices are payable immediately upon checkout via our secured payment gateways.
  • Late Payments (B2B): For business accounts with credit terms, a late fee of 10% per annum will apply to any sums remaining due after 21 days. The Company reserves the right to suspend future services or account access until full payment is received. 

3. SHIPPING AND DELIVERY

  • Performance: Orchard Farm Company Limited undertakes to dispatch goods within the timeframes specified on the product page. These timeframes are estimates; the Company is not liable for delays caused by third-party carriers or unforeseen logistics issues.
  • Risk: Ownership and risk of loss pass to the Client upon delivery to the specified address in accordance with the Sale of Goods Ordinance (Cap. 26). 

4. QUALITY AND RETURNS (HK STATUTORY RIGHTS)

  • Merchantable Quality: Under Section 16 of the Sale of Goods Ordinance, all products are guaranteed to be of merchantable quality and fit for their intended purpose.
  • Right of Rejection: If goods are delivered in a quantity less than contracted or fail to match the description provided, the Client may reject them.
  • Claims: Claims for damaged or missing items must be reported within 8 days of delivery. Notifications should be sent via our website contact portal or in writing to our registered office in Hong Kong.
  • Returns Policy: For eligible non-perishable goods, returns must be initiated within 14 days of receipt in their original, unopened packaging. 

5. LIMITATION OF LIABILITY

  • In accordance with the Control of Exemption Clauses Ordinance (Cap. 71), the Company does not exclude liability for death or personal injury caused by negligence.
  • For all other claims, the Company’s liability shall not exceed the total price of the specific order in question. 

6. INTELLECTUAL PROPERTY

All content on this website, including logos, designs, and agricultural product descriptions, is the exclusive property of Orchard Farm Company Limited and protected by Hong Kong and international intellectual property laws. 7. DATA PRIVACY (2026 COMPLIANCE)Personal data is processed in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) and our [Privacy Policy]. Users have explicit rights to access, correct, and request the deletion of their data. 8. GOVERNING LAW AND JURISDICTION. 

These terms are governed exclusively by the Laws of the Hong Kong Special Administrative Region (HKSAR). Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong
